2021 CORPORATE GOVERNANCE STATEMENT
The Board is responsible for the overall corporate governance of Painchek Limited (Company) including adopting appropriate policies and procedures designed to ensure that the Company is properly managed to protect and enhance shareholder interests.
This Corporate Governance Statement (Statement):
-
reports against the 4th edition of the Corporate Governance Principles and Recommendations issued by the ASX Corporate Governance Council (Governance Principles) and the practices detailed in this Statement are current as at 30 June 2021; and
-
has been approved by the Board and is available on the Company’s website under Corporate Governance at https://www.painchek.com/investor-relations/corporate-governance/ and is current as at 30 June 2021.
Consistent with the Company’s commitment to transparency in its dealings with stakeholders, this Statement has been prepared by reference to each recommendation contained in the Governance Principles.
All references to the Company website in this Statement refer to www.painchek.com
PRINCIPLE 1. – LAY SOLID FOUNDATIONS FOR MANAGEMENT AND OVERSIGHT
Recommendation 1.1
A listed entity should disclose:
(a) the respective roles and responsibilities of its board and management; and
- (b) those matters expressly reserved to the board and those delegated to management.

The Company has adopted a Board Charter (which is available on the Company website) that formally sets out the functions and responsibilities of the Board and those tasks delegated to management.
Recommendation 1.2
A listed entity should:
(a) undertake appropriate checks before appointing a person, or putting forward to security holders a candidate for election, as a director; and
(b) provide security holders with all material information in its possession relevant to a decision on whether or not to elect or re-elect a director.

The Company has entered into agreements with each Director and senior manager, which outlines the terms of their appointment. Each of the Company’s Directors has a signed letter of appointment and each of the Company’s senior managers is engaged under an employment or contractor agreement.
Recommendation 1.4
The Company Secretary of a listed entity should be accountable directly to the board, through the chair, on all matters to do with the proper functioning of the board.

The Company Secretary has a direct reporting line to the Chairman and all Directors have direct access to the Company Secretary, who is appointed by, and accountable to, the Board on all governance matters and the proper functioning of the Board.
Recommendation 1.5
A listed entity should:

(a) have a diversity policy which includes requirements for the board or a relevant committee of the board to set measurable objectives for achieving gender diversity and to assess annually both the objectives and the entity’s progress in achieving them;
-
(b) disclose that policy or a summary of it; and
-
(c) disclose as at the end of each reporting period the measurable objectives for achieving gender diversity set by the board or a relevant committee of the board in accordance with the entity’s diversity policy and its progress towards achieving them, and either:

(1) the respective proportions of men and women on the board, in senior executive positions and across the whole organization (including how the entity has defined “senior executive” for these purposes); or

(2) if the entity is a “relevant employer” under the Workplace Gender Equality Act, the entity’s most recent “Gender Equality Indicators” as defined in and published under that Act.

The Company has established a Diversity Policy (which is available on the Company website), which states that diversity not only refers to gender but extends to age, ethnicity, religious or cultural background, language, marital or family status and disability. The Diversity Policy does set out a requirement to set measurable objectives and to assess annually both the objectives and the entity’s progress in achieving them.
During the reporting period the Company has not formally set measurable objectives for achieving gender diversity in accordance with the Diversity Policy.
The Company is not a relevant employer under the Workplace Gender Equality Act.
The Company defines “senior executive” as a person that has overall responsibility for one or more business functions.
As at 30 June 2020, the proportion of women and men across the levels of Board, senior management and total employees were as follows:

The proportion of female employees who are senior managers / executives: 20%

The proportion of female employees in the whole organisation: 40%
Given the current size and stage of development of the Company, the Board has not considered it necessary to formally set measurable objectives for achieving gender diversity. However, the Company is committed to an inclusive workplace that embraces and promotes diversity as part of its corporate culture.
The Company does not believe this departure from recommendation 1.5 to be detrimental to shareholders.
Recommendation 1.6 A listed entity should:
(a) have and disclose a process for periodically evaluating the performance of the board, its committees and individual directors; and
(b) disclose in relation to each reporting period, whether a performance evaluation was undertaken in the reporting period in accordance with the process.

The Board has established a process for evaluating and assessing the Board’s performance on an annual basis. The last performance evaluation was undertaken in September 2020.

The Company has a process for evaluating the performance of senior executives. The Company sets annual reviews with senior executives and performance is measured against various performance metrics. An evaluation was undertaken during the reporting period.
PRINCIPLE 2 – STRUCTURE THE BOARD TO ADD VALUE
Recommendation 2.1
The board of a listed entity should:
(a) have a nomination committee which:
- (1) has at least three members, a majority of whom are independent
directors;
-
(2) is chaired by an independent director, and disclose:

(3) the charter of the committee;
-
(4) the members of the committee; and
-
(5) as at the end of each reporting period, the number of times the committee met throughout the period and the individual attendances of the members at those meetings; or
(b) if it does not have a nomination committee, disclose that fact and the process it employs to address board succession issues and to ensure that the board has the appropriate balance of skills, knowledge experience, independence and diversity to enable it to discharge its duties and responsibilities effectively.

Due to the size and nature of the existing Board, the Company currently has no Remuneration or Nomination Committee, and the full Board currently carries out the duties that would ordinarily be assigned to the Remuneration and Nomination Committee.

Adam Davey is a Director level manager of Wealth Management at Canaccord Genuity Financial Limited (“Canaccord.”) Mr Davey’s role at Canaccord is separated by Chinese walls between the advisor, broker and research functions. In addition, if there is any discussion about the Company engaging Canaccord for corporate finance activities or advice Mr Davey would be required to recuse himself from those discussions. In his role at Canaccord, Mr Davey also advises a small number of the Company’s substantial shareholders. If decisions were to be made by the Company directly relating to those shareholders, Mr Davey would be required to recuse himself from decision making discussions. For these reasons, Adam Davey is considered to be an Independent Director.

Recommendation 4.2
The board of a listed entity should, before it approves the entity’s financial statements for a financial period, receive from its CEO and CFO a declaration that, in their opinion, the financial records of the entity have been properly maintained and that the financial statements comply with the appropriate accounting standards and give a true and fair view of the financial position and performance of the entity and that the opinion has been formed on the basis of a sound system of risk management and internal control which is operating effectively.

Under the Risk Framework, the Board is responsible for overseeing and managing the risk management program. A review of the key risks was undertaken during the reporting period and continues to be ongoing.

1 “Corporate governance statement” is defined in Listing Rule 19.12 to mean the statement referred to in Listing Rule 4.10.3 which discloses the extent to which an entity has followed the recommendations set by the ASX Corporate Governance Council during a particular reporting period.
Listing Rule 4.10.3 requires an entity that is included in the official list as an ASX Listing to include in its annual report either a corporate governance statement that meets the requirements of that rule or the URL of the page on its website where such a statement is located. The corporate governance statement must disclose the extent to which the entity has followed the recommendations set by the ASX Corporate Governance Council during the reporting period. If the entity has not followed a recommendation for any part of the reporting period, its corporate governance statement must separately identify that recommendation and the period during which it was not followed and state its reasons for not following the recommendation and what (if any) alternative governance practices it adopted in lieu of the recommendation during that period.
