Prominent Resource Industry Investor To Become Largest Shareholder via $450,000 Placement

MinQuest Limited (“MinQuest” or “The Company” ) (ASX:MNQ) is pleased to announce that it has executed a share subscription agreement for the placement of 22,500,000 new fully paid ordinary shares in the Company on the following terms:

  • Issue price of $0.02 per share.

  • Issue of shares is conditional on MinQuest receiving the subscription funds on or before 15 July 2015.

  • The investor is to receive one free attaching option (Option) for each share issued under the subscription agreement on the following terms:

  • a) Each Option entitles the holder to one share when exercised b) The Options will expire at 5.00 pm (AEST) on 27 April 2017 c) The exercise price of each Option will be $0.045

  • The Company is to use its best endeavours to have the options listed on the Australian Stock Exchange (ASX) by 31 August 2015 subject to satisfying the requirements of the ASX.

The shares are to be issued to Mr Robert Healy or his nominee. Mr Healy will control 14.74% of the Company’s issued shares immediately after the issue of shares pursuant to the subscription agreement.

The Company anticipates that the issue of shares and options pursuant to the subscription agreement will be made within the placement capacity available to the Directors under Listing Rules 7.1 and 7.1A.

Jeremy Read, The Company’s Managing Director welcomed the investment:

“This significant investment by a successful and highly regarded resource industry investor underlines the significant potential of MinQuest’s Australian and Canadian projects.”

In addition to the placement to Mr. Healy, MinQuest will place up to another $50,000 in shares on the same terms as detailed above. The funds raised will be utilised to advance the Company’s exploration projects and for working capital purposes.
