1. Appointed Mr. Mark Fedyk as Director of the Company with effect from 12[th] November 2020 as a representative of Jockey International Inc, USA subject to the approval of Shareholders at the ensuing Annual General Meeting;

2. Mr. Timothy Ralph Wheeler has resigned from the Board of the Company with effect from 12[th] November 2020 as Mr. Mark Fedyk is appointed as a representative of Jockey International Inc. USA.

3. Appointed Mr. Sanjeev Genomal as Alternate Director to Mr. Nari Genomal; and

Brief Profile of Mr. Mark Fedyk, Non-Executive Non-Independent Director

Mr. Mark Fedyk is currently the President and Chief Operating Officer of Jockey International, Inc.

As President and COO, Mark is responsible for the long-term strategic vision and growth of the 143-year-old owned company. His vision for the company is grounded in its history, guided by family values and focused on caring for "generations of families" to come. Mr. Mark serves on the company's board of directors.

Mr. Mark began his career at Jockey in 2008 as Vice President of the company's retail division. Prior to his current role, he served as President of Jockey's North American wholesale business and Chief Merchandising Officer.

Prior to his career at Jockey, Mark held executive positions at Sears, Saks Department Store Group, and Ulta Cosmetics, leading their merchandising and marketing functions. Mark also served as President of the retail division of The Yankee Candle Company.

Mark holds an MBA degree from the Owen Graduate School of Management at Vanderbilt University and a bachelor's degree in marketing from Middle Tennessee State University.

He is also an active volunteer and supporter of the Evangelical Lutheran Church in America, the Jockey Being Family Foundation, and Feed My Starving Children.

Mr. Mark Fedyk is not related with other Directors, Key Managerial Personnel and Promoters of the Company.

Mr. Sanjeev Genomal, aged 52 years, is son of Mr. Nari Genomal. He is a Graduate in Commerce. He has 25+ years of experience in various facets of textile industry. He holds directorship in 3 more Indian Companies.

Relationship with other Directors, Key Managerial Personnel and Promoters of the Company: Mr. Sanjeev Genomal is a part of promoter group and son of Mr. Nari Genomal, Director.
