APPOINTMENT OF INDEPENDENT FINANCIAL ADVISER

The Board is pleased to announce that Celestial Capital Limited has been appointed as the Independent Financial Adviser to advise, amongst others, the Independent Board Committee in respect of the Offer.

Reference is made to the joint announcement (the “Joint Announcement”) dated 16 October 2009 made by Sun Matrix Limited and Prosperity Investment Holdings Limited (the “Company”) in respect of, amongst others, the Offer. Capitalised terms used herein shall have the same meanings as those defined in the Joint Announcement unless otherwise defined herein.

The Board is pleased to announce that Celestial Capital Limited has been appointed as the Independent Financial Adviser to advise, amongst others, the Independent Board Committee and the Independent Shareholders and in particular as to whether the Offer is, or is not, fair and reasonable and as to acceptance.

The Independent Board Committee, which comprises independent non-executive Directors who are not interested in the Offer, namely Mr. Chan Siu Wing, Raymond, Mr. Yan Mou Keung, Ronald and Mr. Chan Fai Yue, Leo, has been established to advise the Independent Shareholders in respect of the Offer. In accordance with Rule 2.1 of the Takeovers Code, the Independent Board Committee has approved the appointment of Celestial Capital Limited as the Independent Financial Adviser in respect of the Offer.
