Item 8.01 Other Events.

On April 1, 2016, OUTFRONT Media Inc. (the “Company”) completed the previously announced sale of all of its equity interests in certain of its subsidiaries (the “Transaction”), which hold all of the assets of the Company’s outdoor advertising business in Argentina, Brazil, Chile, Mexico and Uruguay, to certain subsidiaries of JCDecaux SA. In connection with the Transaction, the Company received $82.0 million in cash plus working capital, which is subject to post-closing adjustments.
