THIS PRESS RELEASE IS ISSUED PURSUANT TO MULTILATERAL INSTRUMENT 62-104 AND NATIONAL INSTRUMENT 62-103 - THE EARLY WARNING SYSTEM AND RELATED TAKE-OVER BID AND INSIDER REPORTING ISSUES

Vancouver, B.C., February 12, 2020

Guy O'Loughnane (the "Acquiror), a Director of Naturebank Asset Management Inc. (the "Issuer") has filed an early warning report (the "Early Warning Filing") concerning the Acquiror's potential acquisition of shares in the capital stock of the Issuer.

The Early Warning Filing contains the following information:

The Acquiror has acquired, by way of assignment in a private transaction and at a cost of $40,000, two convertible debentures (the "Debentures") which have a total principal amount of $100,000 and are convertible to common shares of the Issuer at a price of $0.10 of principal per common share. The Debentures pay interest at the rate of 6% per annum simple interest, payable bi-annually. The Debentures were originally issued by the Issuer in early 2016.

Prior to the acquisition, the Acquiror had direct ownership of 4,153,000 common shares of the Issuer and his spouse had direct ownership of 2,715,000 common shares of the Issuer. Their common shares totalled 6,868,000 common shares which was over 10% of the 61,752,679 common shares of the Issuer outstanding.

By acquiring the Debentures on February 11, 2020, Guy O'Loughnane and Petrina Ooi potentially, if the Debentures were to be fully converted to 1,000,000 common shares of the Issuer, would have 7,868,000 of the then outstanding 62,752,679 common shares of the Issuer (on a partially diluted basis diluting only for the exercise of the Debentures) or 12.54%.

The Acquiror, together with his spouse, may increase or decrease ownership or control or direction over the Issuer's securities, subject to a number of factors including general market and economic conditions and other available investment and business opportunities.
