3.		 On 16 November 2015, the Company and each of the Subscribers
entered into the respective Subscription Agreements pursuant to
which the Subscribers conditionally agreed to subscribe for and the
Company conditionally agreed to allot and issue an aggregate of
49,362,038 Subscription Shares at the Subscription Price of
HK$2.42 per Subscription Share for a total consideration of
approximately HK$119.5 million.
The issue of the Subscription Shares will be allotted and issued
pursuant to the General Mandate and is not subject to the approval
of the Shareholders at an extraordinary general meeting. On 29
February 2016, the Company and each of the Subscribers entered
into the respective supplemental deeds pursuant to which the
Subscribers and the Company agreed to extend the Long Stop Date
for fulfilment of the conditions to completion of the Subscription
Agreements. (For details, please refer to the announcements of the
