WARRANT OSAI A.S. 2020-2025: RISULTATI DEL DECIMO ED ULTIMO PERIODO DI ESERCIZIO

Torino (TO), 31 ottobre 2025 - OSAI Automation System S.p.A. S.B. (di seguito anche la "Società" o "OSAI", Ticker OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori, rende noto che in data odierna si è concluso il Periodo di Esercizio dei "Warrant Osai A.S. S.P.A. 2020-2025", codice ISIN n. IT0005424822 (i "Warrant") ricompreso tra il 1 ottobre 2025 e fino al 31 ottobre 2025, termini iniziale e finale compresi (il "Decimo Periodo di Esercizio").

Sono stati esercitati n. 450 Warrant e conseguentemente sono state assegnate, al prezzo di Euro 2,00 per azione e nel rapporto di n. 1 (una) Azione di Compendio ogni n. 1 (un) Warrant, n. 450 azioni ordinarie Osai di nuova emissione (codice ISIN n. IT0005424830) per un controvalore complessivo di Euro 900,00.

Le azioni di nuova emissione, prive dell'indicazione del valore nominale, avranno godimento regolare e le medesime caratteristiche delle azioni ordinarie Osai in circolazione alla data di emissione e negoziazione su Euronext Growth Milan. Le stesse saranno rese disponibili per la negoziazione il Giorno di Borsa Aperta successivo al termine dell'ultimo giorno del Periodo di Esercizio (i.e. il 3 novembre 2025) per il tramite di Monte Titoli S.p.A..

Si ricorda che i Warrant per i quali non è stata presentata richiesta di sottoscrizione entro il termine del Decimo Periodo di Esercizio sono decaduti da ogni diritto, divenendo definitivamente privi di ogni effetto.

Ad esito dell'emisisone, il nuovo capitale sociale di Osai risulterà pari ad Euro 1.613.095,70 suddiviso in n. 16.130.957 azioni ordinarie tutte senza indicazione del valore nominale (precedente: n. 16.130.507 azioni).

L'attestazione di avvenuta sottoscrizione delle azioni ordinarie di nuova emissione di cui sopra sarà depositata presso il Registro delle Imprese di Torino ai sensi dell'art. 2444 c.c. e apposita comunicazione di variazione del capitale sociale verrà effettuata dalla Società.

La Società provvederà a pubblicare il comunicato di variazione del capitale sociale a seguito del deposito di avvenuta esecuzione dell'aumento di capitale presso il Registro delle Imprese di Torino nei termini di legge.

WARRANT OSAI AS. 2020-2025: RESULTS OF THE TENTH AND FINAL EXERCISE PERIOD

Turin, October 31st, 2025 –Osai Automation System S.p.A. Società Benefit (Ticker: OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, announces that today the Exercise Period of the "Osai AS. S.P.A. Warrants A.S.2020-2025", ISIN code n. IT0005424822 (the "Warrants") included between October 1st, 2025 and until October 31st, 2025, initial and final terms included (the "Tenth Exercise Period").

450 Warrants were exercised and thus 450 newly issued Osai A.S. S.p.A. SB ordinary shares (ISIN code no. IT0005424830), at a price of EUR 2.00 per share, in the report of n. 1 (one) Compendium Action for every n. 1 (one) Warrant with a total value of EUR 900.00, were assigned.

The newly issued shares, without the indication of the nominal value, will have regular enjoyment and the same characteristics as the Osai ordinary shares in circulation on the date of issue and trading on Euronext Growth Milan. Subscribed shares will be made available for trading on the settlement day following the end of the last day of the Exercise Period (i.e. 03 November 2025) - through Monte Titoli S.p.A.

Please note that Warrants for which no subscription request has been submitted within the end of the Tenth Operating Period have forfeited all rights, becoming definitively devoid of any effect.

The new share capital of Osai will be equal to Euro 1.613.095,70 divided into no. 16.130.957 ordinary shares all without indication of par value (previous: 16.130.507 shares).

The certification of the subscription of the newly issued ordinary shares referred to above will be filed with the Turin Company Register pursuant to art. 2444 of the Italian Civil Code and a specific communication of the change in share capital will be made by the Company.

The Company will publish the notice of change in the share capital following the filing of the execution of the capital increase at the Turin Company Register within the terms of the law.
