WARRANT OSAI A.S. 2020-2025: RISULTATI DEL QUINTO PERIODO DI ESERCIZIO

Torino (TO), 30 giugno 2023 - OSAI (Ticker OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori, rende noto che in data odierna si è concluso il Periodo di Esercizio dei "Warrant Osai A.S.2020-2025", codice ISIN n. IT0005424822 (i "Warrant") ricompreso tra il 1 giugno 2023 e fino al 30 giugno 2023, termini iniziale e finale compresi (il "Periodo di Esercizio").

Sono stati esercitati n. 3.100 Warrant e sono state quindi assegnate, al prezzo di Euro 2,00 per azione, n. 3.100 azioni ordinarie Osai A.S. S.p.A. SB di nuova emissione (codice ISIN n. IT0005424830) per un controvalore complessivo di Euro 6.200,00.

La Società comunica che i titolari dei Warrant che non abbiano richiesto di sottoscrivere le Azioni di Compendio entro l'ultimo Giorno di Borsa Aperta del Periodo di Esercizio avranno la facoltà di esercitare i suddetti Warrant in ognuno degli eventuali successivi Periodi di Esercizio, fermo restando il Termine di Decadenza.

Le azioni Osai A.S. S.p.A. SB sottoscritte saranno rese disponibili per la negoziazione il giorno di liquidazione successivo al termine dell'ultimo giorno del Periodo di Esercizio (i.e. il 3 luglio 2023) – per il tramite di Monte Titoli S.p.A. – e hanno il medesimo godimento delle azioni ordinarie Osai in circolazione alla data di emissione e negoziazione su Euronext Growth Milan.

Il nuovo capitale sociale di Osai risulterà pari ad Euro 1.613.030,70 suddiviso in n. 16.130.307,00 azioni ordinarie tutte senza indicazione del valore nominale (precedente: n. 16.127.207 azioni).

L'attestazione di avvenuta sottoscrizione delle azioni ordinarie di nuova emissione di cui sopra sarà depositata presso il Registro delle Imprese di Torino ai sensi dell'art. 2444 c.c. e apposita comunicazione di variazione del capitale sociale verrà effettuata dalla Società.

La Società provvederà a pubblicare il comunicato di variazione del capitale sociale a seguito del deposito di avvenuta esecuzione dell'aumento di capitale presso il Registro delle Imprese di Torino nei termini di legge.

WARRANT OSAI A.S. 2020-2025: RESULTS OF THE FIFTH YEAR PERIOD

Turin, June 30th 2023 - OSAI (Ticker OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, announces that announces that today the Exercise Period of the "Osai Warrants A.S.2020-2025", ISIN code n. IT0005424822 (the "Warrants") included between June 1st, 2023 and until June 30th, 2023, initial and final terms included (the "Exercise Period").

3,100 Warrants were exercised and thus 3,100 newly issued Osai A.S. S.p.A. SB ordinary shares (ISIN code no. IT0005424830), at a price of EUR 2.00 per share, with a total value of EUR 6,200.00, were assigned.

The Company announces that the holders of the Warrants who have not requested to subscribe the Conversion Shares by the last Trading Day of the Exercise Period will have the right to exercise the aforementioned Warrants in any of the subsequent Exercise Periods, without prejudice to the Term of Forfeiture.

Osai A.S. S.p.A. SB subscribed will be made available for trading on the settlement day following the end of the last day of the Exercise Period (i.e. 03 July 2023) - through Monte Titoli S.p.A. - and have the same entitlement as the Osai ordinary shares in circulation at the date of issue and trading on Euronext Growth Milan.

The new share capital of Osai will be equal to Euro 1.613.030,70 divided into no. 16.130.307,00 ordinary shares all without indication of par value (previous: 16.127.207 shares).

The certification of the subscription of the newly issued ordinary shares referred to above will be filed with the Turin Company Register pursuant to art. 2444 of the Italian Civil Code and a specific communication of the change in share capital will be made by the Company.

The Company will publish the notice of change in the share capital following the filing of the execution of the capital increase at the Turin Company Register within the terms

of the law.
