INTEGRAZIONE AL COMUNICATO STAMPA DEL 9 SETTEMBRE 2024
CONVOCAZIONE DI ASSEMBLEA ORDINARIA E STRAORDINARIA DEGLI AZIONISTI E DI ASSEMBLEA DEI PORTATORI DI "WARRANT OSAI A.S. S.P.A. 2020-2025"
Torino (TO), 10 settembre 2024 - OSAI Automation System S.p.A. S.B. (Ticker OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori, in riferimento al comunicato stampa pubblicato in data 9 settembre 2024 e relativamente al seguente punto:
• Modifica del Regolamento dei "Warrant OSAI A.S. S.p.A. 2020-2025" con riferimento ai periodi di esercizio e al termine di scadenza. Modifica del termine finale di sottoscrizione del relativo aumento di capitale a servizio dell'esercizio dei warrant.
precisa che il Consiglio di Amministrazione della Società propone di introdurre quattro ulteriori periodi di esercizio rispettivamente dal 01/06/2026 al 30/06/2026 (l'"Undicesimo Periodo di Esercizio"), dal 01/10/2026 al 31/10/2026 (il "Dodicesimo Periodo di Esercizio"), dal 01/06/2027 al 30/06/2027 (il "Tredicesimo Periodo di Esercizio"), dal 01/10/2027 al 29/10/2027, (il "Quattordicesimo Periodo di Esercizio") estendendo conseguentemente il Termine di Decadenza per l'esercizio dei Warrant dal 31 ottobre 2025 al 29 ottobre 2027, modificando la denominazione del Regolamento per recepire tale estensione e mantenendo invariato, per tali ulteriori periodi, il Prezzo Strike pari a Euro 2,00.
Si informa inoltre che l'esercizio dei Warrant sarà automaticamente sospeso dal 01/10/2024 (incluso) fino al 15/10/2024 (incluso), data prevista dell'Assemblea in prima convocazione, riprendendo in data 16/10/2024, ovvero fino al 17/10/2024 (incluso) nel caso in cui l'Assemblea abbia luogo in seconda convocazione, riprendendo in data 18/10/2024.

SUPPLEMENT TO THE PRESS RELEASE OF SEPTEMBER 9TH, 2024
ORDINARY AND EXTRAORDINARY SHAREHOLDERS' MEETING AND ASSEMBLY OF THE HOLDERS OF "WARRANT OSAI A.S. S.P.A. 2020-2025"
Turin, September 10th, 2024 –Osai Automation System S.p.A. Benefit Company (Ticker: OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, in reference to the press release published on September 9th, 2024 and in relation to the following point:
• Amendment of the "OSAI A.S. S.p.A. 2020-2025" Regulation with reference to the periods of operation and the expiry date. Change in the final date for subscription of the related capital increase to serve the exercise of warrants.
announces that the Board of Directors of the Company proposes to introduce four additional exercise periods respectively from 01/06/2026 to 30/06/2026 (the "Eleventh Exercise Period"), from 01/10/2026 to 31/10/2026 (the "Twelfth Exercise Period"), from 01/06/2027 to 30/06/2027 (the "Thirteenth Exercise Period"), from 01/10/2027 to 29/10/2027, (the "Fourteenth Exercise Period") consequently extending the Deadline for the exercise of the Warrants from October 31st 2025 to October 29th 2027, changing the name of the Regulations to incorporate this extension and keeping the Strike Price of Euro 2.00 unchanged for these additional periods.
Please also be advised that the exercise of the Warrants will be automatically suspended from 01/10/2024 (inclusive) until 15/10/2024 (inclusive), the scheduled date of the Shareholders' Meeting on first call, and will resume the exercise period on 16/10/2024 or until 17/10/2024 (inclusive) if the Shareholders' Meeting is held on second call and will resume the exercise period on 18/10/2024.
