DEPOSITATA LA COMUNICAZIONE DI PROROGA DELLA DURATA DELL'INCARICO DELL'ESPERTO

Torino (TO), 28 luglio 2025 OSAI Automation System S.p.A. S.B. (Ticker OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori (la "Società" o "Osai"), rende noto di aver depositato in data 25 luglio 2025 tramite la Piattaforma telematica istituita ai sensi dell'art. 13 del Decreto Legislativo del 12 gennaio 2019, n°14 (il "CCII"), la comunicazione del Dott. Mario Leonardo Marta, esperto nominato dalla Camera di Commercio di Torino il 3 febbraio 2025 (l'"Esperto"), circa la proroga dell'incarico di Esperto, ai sensi dell'art. 17, comma 7 del CCII, fino al 29 gennaio 2026.

In particolare, l'Esperto ha comunicato:

• che, a suo avviso, ricorrono i presupposti per la proroga della Composizione Negoziata, atteso che, nel caso di specie (in cui la Società non ha peraltro richiesto le cd. "misure protettive"):
  • i creditori non hanno espresso il diniego alla prosecuzione in buona fede delle trattative (senza tuttavia che tale disponibilità possa essere intesa quale assunzione di obblighi e/o responsabilità, nemmeno di carattere precontrattuale, in capo ai creditori medesimi);
  • allo stato non sono emersi elementi di manifesta infattibilità del piano industriale e del progetto di risanamento ipotizzato dalla Società;
• la propria disponibilità a proseguire l'incarico di Esperto per il periodo necessario per addivenire alla conclusione delle trattative e, in ogni caso, entro la durata massima prevista dalla legge, quindi sino al 29 gennaio 2026.

La Società provvederà ad informare tempestivamente il mercato in caso di eventuali ed ulteriori informazioni in merito.

THE COMMUNICATION EXTENDING THE DURATION OF THE APPOINTMENT OF THE EXPERT HAS BEEN FILED

Turin, July 28th 2025 OSAI (Ticker OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, announces that on 25 July 2025 it filed via the Telematic Platform established pursuant to Art. 13 of Legislative Decree of 12 January 2019, n°14 (the "CCII"), the communication from Dr. Mario Leonardo Marta, an expert appointed by the Turin Chamber of Commerce on 3 February 2025 (the "Expert"), about the extension of the role of Expert, in accordance with Art. 17 (7) of the CCII, until 29 January 2026.

In particular, the Expert communicated:

that, in its opinion, the conditions for the extension of the Negotiated Composition are met, given that, in the present case (in which the Company did not, moreover, request the socalled "protective measures"):

the creditors have not expressed their refusal to continue the negotiations in good faith (without, however, this availability being understood as the assumption of obligations and/or responsibilities, not even of a precontractual nature, on the part of the creditors themselves);

at present, no elements of manifestability of the industrial plan and the recovery project hypothesized by the Company have emerged;

the availability to continue the role of Expert for the period necessary to reach the conclusion of the negotiations and, in any case, within the maximum duration established by law, therefore until 29 January 2026.

The Company will promptly inform the market in case of any further information in this regard.
