IL CDA NOMINA PER COOPTAZIONE IL NUOVO AMMINISTRATORE DELEGATO

Torino (TO), 06 febbraio 2025 – OSAI Automation System S.p.A. SB (Ticker OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori (la "Società" o "Osai"), facendo seguito a quanto comunicato il 25 gennaio 2025 con riferimento, in particolare, alla riorganizzazione della Società e all'inserimento e la sostituzione di alcune figure apicali del management nel breve periodo, rende noto che il Consiglio di Amministrazione, riunitosi in data odierna, ha provveduto a nominare per cooptazione il Dott. Marco Molino quale Amministratore Delegato di Osai A.S. S.p.A. SB, attribuendogli i poteri e le deleghe operative e gestionali.

Sulla base delle informazioni ricevute dalla Società alla data della nomina il Dott. Marco Molino non risulta detenere direttamente o indirettamente azioni ordinarie della Società.

Inoltre, il Presidente del Consiglio di Amministrazione, Mirella Ferrero, ha rimesso al Consiglio di Amministrazione alcune deleghe operative, rinunciando, quindi, alla carica di Amministratore Delegato della Società con decorrenza dalla data odierna.

Tenuto conto delle dimissioni rassegnate dal CFO Marco Gadaleta il Consiglio di Amministrazione ha deliberato di conferire al Consigliere Delegato, Carlo Frigato, in ragione del ruolo precedentemente ricoperto da quest'ultimo nella Società quale Deputy CFO, e al Presidente, Mirella Ferrero, alcune deleghe in materia finanziaria.

OSAI'S BOARD OF DIRECTORS APPOINTS THE NEW CHIEF EXECUTIVE OFFICER BY CO-OPTATION

Turin (TO), February 6th, 2025 – OSAI Automation System S.p.A. SB (Ticker OSA), (Ticker OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, (the "Company" or "Osai"), following up on what was communicated on 25 January 2025 with reference, in particular, to the reorganisation of the Company and the inclusion and replacement of certain senior management figures in the short term, hereby announces that the Board of Directors, which met today, appointed Dr. Marco Molino as Chief Executive Officer by co-optation of Osai A.S. S.p.A. SB, assigning him operational and management powers and delegations.

Based on the information received by the Company on the date of appointment, Dr. Marco Molino does not appear to directly or indirectly hold any ordinary shares of the Company.

In addition, the Chairwoman of the Board of Directors, Mirella Ferrero, has remitted certain operational powers to the Board of Directors, thus renouncing the office of Chief Executive Officer of the Company with effect from today.

Taking into account the resignation of CFO Marco Gadaleta, the Board of Directors resolved to grant the Executive Board Member, Carlo Frigato, by reason of the role previously held by the latter in the Company as Deputy CFO, and the Chairwoman, Mirella Ferrero, some delegations in financial matters.
