DIMISSIONI CONSIGLIERE INDIPENDENTE

Torino (TO), 24 ottobre 2024 - OSAI Automation System S.p.A. S.B. (Ticker OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori, comunica che in data 23 ottobre 2024 ha ricevuto le dimissioni, con effetto immediato, da parte del consigliere Sergio Duca.

Il Dott. Sergio Duca, amministratore non esecutivo e indipendente, nominato sulla base dell'unica lista presentata nell'Assemblea ordinaria degli Azionisti del 27 Aprile 2023, era Presidente del Comitato per la Remunerazione, nonchè componente del Comitato Controllo e Rischi e del Comitato per le Operazioni con Parti Correlate.

Non sono previsti indennità o altri benefici conseguenti alla cessazione dalla carica. Si precisa che alla data odierna, sulla base delle informazioni disponibili, il Dott. Sergio Duca non detiene azioni della Società.

Il Consiglio di Amministrazione della Società, nella prossima riunione, valuterà la sostituzione dell'amministratore dimissionario.

Il Presidente Mirella Ferrero e l'intero Consiglio di Amministrazione, prendendo atto delle dimissioni, ringraziano Sergio Duca per la proficua attività sino ad oggi svolta a favore della Società.

RESIGNATION OF AN INDEPENDENT COUNCILLOR

Turin, October 24th, 2024 –Osai Automation System S.p.A. Benefit Company (Ticker: OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, announces that on October 23, 2024 received the resignation, with immediate effect, from the councilor Sergio Duca.

Dr. Sergio Duca, non-executive and independent director, appointed on the basis of the only list presented at the Ordinary Shareholders' Meeting of 27 April 2023, was Chairman of the Remuneration Committee, as well as a member of the Control and Risk Committee and the Related Party Transactions Committee.

No severance or other benefits are payable on termination of service. It should be noted that, on the basis of the information available, Dr. Sergio Duca does not hold shares in the company.

The Board of Directors of the Company, at its next meeting, will consider the replacement of the resigning director.

The President, Mirella Ferrero and the entire Board of Directors, taking note of the resignation, thank Sergio Duca for the fruitful activity carried out in favor of the Company.
