Notice under Section 708A(5)(e) of the Corporations Act
15 October 2024: Orthocell Limited ASX: OCC, “Orthocell” or “the Company”) advises that it has today issued 1,099,811 fully paid ordinary shares ( Shares ) following the cashless exercise of 16,410,000 $0.583 14 October 2024 options.
The Company gives notice under section 708(5)(e) of the Corporations Act 2001 (Cth) (“ Act ”) that:

(a) the Shares were issued without disclosure to investors under Part 6D.2 of the Act;
-
(b) the notice is being given under section 708A(5)(e) of the Act;
-
(c) as at the date of this notice the Company has complied with:
-
(i) the provisions of Chapter 2M of the Act, as they apply to the Company; and
-
(ii) sections 674 and 674A of the Act; and
-
-
(d) as at the date of this notice, there is no information that is ‘excluded information’ within the meanings of sections 708(A)(7) and 708A(8) of the Act that is required to be set out in this notice.

Orthocell is accelerating the development of its tendon cell therapy in the US with technology transfer and FDA engagement to confirm the path to the US market and prepare for partnering discussions.
