MODALITÀ DI ESERCIZIO DEI WARRANT ORSERO S.P.A.

Milano, 1 giugno 2017

Orsero S.p.A. ("ORSERO" o la "Società") ai sensi dell'articolo 3, comma 4, del "Regolamento dei Warrant Orsero S.p.A." (rispettivamente, il "Regolamento" e i "Warrant"), comunica che, essendo il "Prezzo Medio Mensile" di maggio 2017 delle Azioni Ordinarie ORSERO pari ad Euro 13,0727( ¹) ed il "Prezzo Strike" pari ad Euro 9,50, il Rapporto di Esercizio dei Warrant per il mese di giugno 2017 risulta essere pari a 0,2754.

Si ricorda che il Prezzo di Sottoscrizione delle Azioni di Compendio è uguale alla parità contabile di emissione già determinata in Euro 0,10 (0/dieci) e il Rapporto di Esercizio dei Warrant è determinato sulla base della seguente formula:

Le richieste di sottoscrizione dovranno essere presentate all'intermediario aderente a Monte Titoli presso cui i Warrant sono depositati, entro l'ultimo giorno di mercato aperto del mese di giugno 2017.

La Società comunica inoltre che durante il mese di maggio 2017 risultano pervenute richieste di esercizio di n. 1.250 warrant (Rapporto di Esercizio pari a 0,2177); pertanto, la Società ha provveduto ad emettere n. 271 azioni ordinarie a servizio di detto esercizio, per un controvalore complessivo di Euro 27,1, secondo le modalità previste dal Regolamento. Per effetto di quanto precede, il nuovo capitale sociale di ORSERO S.p.A. è pari ad Euro 64.500.451,90 suddiviso in n. 14.494.519 Azioni Ordinarie prive del valore nominale.

EXERCISE OF WARRANTS ORSERO S.P.A.

Milan, June 1, 2017

Orsero S.p.A. ("ORSERO" or the "Company") pursuant to Article 3 sub.4, of "Warrant Orsero S.p.A. Regulation" (the "Regulation", available in Italian only), announces that, being in May 2017 the Monthly Average Price of ORSERO Ordinary Shares equal to Euro 13.0727( ²) and the Strike Price equal to Euro 9.50, the Exercise Ratio of Orsero Warrant for the month of June is equal to 0.2754.

We draw your attention to the fact that the Subscription Price of Shares is equal to the par value already fixed in Euro 0.1 (0/ten) by the aforementioned Regulation and that the Exercise Ratio of Warrants is calculated per the following formula:

Requests for the exercise of the warrants must be submitted to the intermediary joined to Monte Titoli at which the warrants are deposited within the last trading day of June 2017.

The company also announces that during the month of May 2017 were received requests of exercise of 1,250 warrant (Exercise Ratio of 0.2177); hence the Company arranged for the issue of 271 Ordinary Shares to service these requests, for a total value of Euro 27.10, following the procedure set for by the Regulation. As an effect of the above, the new Share Capital of ORSERO S.p.A. is equal to Euro 64,500,451.90 divided into 14,494,519 Ordinary Shares without nominal value.
