VERIFICATA LA CONDIZIONE DI ACCELERAZIONE DEI WARRANT ORSERO S.P.A.

Milano, 3 luglio 2017

Orsero S.p.A. ("Orsero"), comunica, ai sensi del "Regolamento dei Warrant Orsero S.p.A." (il "Regolamento"), che in data 30 giugno 2017, si è verificata la "Condizione di Accelerazione" definita dal Regolamento stesso, essendo il "Prezzo Medio Mensile" delle azioni Orsero per il mese di giugno 2017 pari a Euro 13,46031 e, pertanto, superiore al "Prezzo Soglia" di Euro 13,30.

Ai sensi dell'art. 3 del Regolamento i portatori dei Warrant dovranno richiedere di sottoscrivere le "Azioni di Compendio" al "Prezzo di Sottoscrizione Azioni" entro e non oltre 30 (trenta) giorni dalla data odierna, e, pertanto, entro e non oltre il 2 agosto 2017 (il "Termine di Decadenza") in ragione del Rapporto di Esercizio pari a 0,2879. L'esercizio dei Warrant avrà efficacia entro il decimo giorno di mercato aperto successivo alla sopra indicata data del 2 agosto, quando la Società provvederà a emettere le Azioni di Compendio sottoscritte, mettendole a disposizione per il tramite di Monte Titoli. Le Azioni di Compendio avranno godimento pari a quello delle azioni alla data di efficacia dell'esercizio dei Warrant.

Si ricorda che, ai sensi del Regolamento, i Warrant non esercitati entro il Termine di Decadenza decadranno da ogni diritto divenendo privi di validità ad ogni effetto.

La Società comunica inoltre che durante il mese di giugno 2017 risultano pervenute richieste di esercizio di n. 71.480 warrant (Rapporto di Esercizio pari a 0,2754); pertanto, la Società ha provveduto ad emettere n. 19.684 azioni ordinarie a servizio di detto esercizio, per un controvalore complessivo di Euro 1.968,4, secondo le modalità previste dal Regolamento. Per effetto di quanto precede, il nuovo capitale sociale di ORSERO S.p.A. è pari ad Euro 64.502.420,30 suddiviso in n. 14.514.203 Azioni Ordinarie prive del valore nominale.

VERIFIED THE CONDITION OF ACCELERATION OF WARRANTS ORSERO S.P.A.

Orsero S.p.A. ("ORSERO" or the "Company"), pursuant to the "Warrant Orsero S.p.A. Regulation" (the "Regulation"), announces that on June 30, 2017, it was verified the "Condition of Acceleration" defined by the same Regulation, being the "Monthly Average Price" of Orsero Ordinary Shares for the month of June 2017 equal to Euro 13,4603 and, therefore, above to the "Trigger Price" of Euro 13,30.

Pursuant to the art. 3 of the Regulation the Warrants Holders must request the subscription of "Conversion Shares" at the " Subscription Price of Shares" at the latest within 30 (thirty) days from today and, therefore, at the latest on August 2 ,2017 (the " Deadline") with an Exercise Ratio equal to 0,2879. The exercise of Warrants will be effective within the tenth open trading day subsequent the above mentioned date of August 2, when the Company will issue the Conversion Shares making them available through Monte Titoli S.p.A..The Conversion Shares will have the same rights as Shares at the date of effectiveness of the exercise of the Warrant.

We draw your attention that, pursuant to the Regulation, the Warrants not exercised within the Deadline will became void and without validity to every effect.

The company also announces that during the month of June 2017 were received requests of exercise of 71,480.00 warrant (Exercise Ratio of 0.2754); hence the Company arranged for the issue of 19,684.00 Ordinary Shares to service these requests, for a total value of Euro 1,968.40, following the procedure set forth by the Regulation. As an effect of the above, the new Share Capital of ORSERO S.p.A. is equal to Euro 64,502,420.30 divided into 14,514,203 Ordinary Shares without nominal value.
