VARIAZIONE DEL CAPITALE SOCIALE DI ORSERO S.P.A.

Milano, 4 agosto 2017

Orsero S.p.A. ("Orsero" o la "Società"), facendo riferimento alla "Comunicazione di Accelerazione" effettuata in data 3 luglio 2017, comunica che il 2 agosto 2017 è stato il "Termine di Decadenza" per l'esercizio dei Warrant, ai sensi "Regolamento dei Warrant Orsero S.p.A." (il "Regolamento").

Entro tale termine, risultano pervenute richieste di esercizio di n. 7.531.496 Warrant con Rapporto di Esercizio pari a 0,2879; pertanto la Società ha provveduto ad emettere n. 2.168.297 azioni ordinarie a servizio di detto esercizio, per un controvalore complessivo di Euro 216.829,70, secondo le modalità previste dal Regolamento.

Per effetto di quanto precede, il nuovo capitale sociale di ORSERO S.p.A. è pari ad Euro 64.719.250,00 suddiviso in n. 16.682.500 Azioni Ordinarie prive del valore nominale.

La nuova composizione del capitale sociale interamente sottoscritto e versato di Orsero è pertanto la seguente:

CHANGE IN THE SHARE CAPITAL OF ORSERO S.P.A.

Orsero S.p.A. ("Orsero" or the "Company"), referring to the "Communication of Acceleration" released on 3 July 2017, communicates that the 2 August 2017 was the "Deadline" for exercise of Warrants, pursuant to the "Warrant Orsero S.p.A. Regulation " (the "Regulation").

Within the above-mentioned Deadline, have been received requests of exercise of 7,531,496 Warrants with an Exercise Ratio of 0.2879; hence the Company arranged for the issue of 2,168,297 Ordinary Shares to service these requests, for a total value of Euro 216,829.70, following the procedure set forth by the Regulation.

As an effect of the above, the new share capital of Orsero amounts to Euro 64,719,250.00 divided into 16,682,500 ordinary shares without nominal value.

The new composition of Orsero's subscribed and fully paid up share capital is therefore as follows:

We draw your attention that, pursuant to the Regulation, the Warrants not exercised within the Deadline are void and without validity to every effect.

The Company also informs that the new text of the articles of association reflecting the change in share capital was filed with the Milan Register of Companies on the same date.
