Milano, 12 marzo 2019 – Orsero S.p.A. (ORS:MI), società ammessa alle negoziazioni su AIM Italia e holding dell'omonimo gruppo tra i leader nell'Europa mediterranea per l'importazione e la distribuzione di prodotti ortofrutticoli freschi, comunica di aver sottoscritto in data odierna un accordo per l'acquisto del Gruppo Fruttica, specializzato nell'importazione e distribuzione all'ingrosso di ortofrutta, con particolare focus nella distribuzione in Francia, di uva di produzione italiana (ca. 50% del volume), di meloni, pere e ortaggi.
La dott.ssa Raffaella Orsero, CEO del Gruppo, ha commentato: "Questa operazione si colloca nell'ambito del percorso che il Gruppo Orsero sta compiendo verso un sempre maggiore radicamento e potenziamento delle sue attività distributive in Europa con l'obiettivo di rafforzare la presenza geografica, la diversificazione del sourcing e la gamma dei prodotti commercializzati. Le società oggetto di acquisizione, specializzate nella distribuzione di prodotti italiani in Francia porteranno ad un migliore bilanciamento dei ricavi originati in Francia, dando impulso a categorie merceologiche caratterizzate da ottime potenzialità di mercato e garantendo al Gruppo una sempre maggior integrazione con la filiera produttiva agricola italiana."
Sebastièn Postifferi, Presidente di Postifruit, ha commentato: "l'ingresso di Fruttica nel Gruppo Orsero apre in Francia nuove opportunità di sviluppo e di sinergia. Sono convinto che grazie alla forza distributiva di AZ France, il business Fruttica possa sviluppare tutto il suo potenziale. Sono altresì molto soddisfatto di continuare a collaborare per lo sviluppo di Fruttica e – da domani – del Gruppo Orsero".
In data odierna Orsero ha sottoscritto con Sebastien Postifferi un accordo (l'"Accordo") disciplinante i termini e condizioni dell'acquisizione, da parte della stessa Orsero o della controllata francese AZ France S.A., dell'intero capitale sociale di Postifruits S.a.s. ("Postifruits") società che detiene l'intero capitale di Fruttica S.a.s., e che entro il perfezionamento dell'acquisizione deterrà l'intero capitale di GP Frutta S.r.l. ("GP Frutta") (nel complesso, il "Gruppo Fruttica").
Ai sensi dell'Accordo, l'acquisizione sarà finalizzata entro il mese di maggio 2019, ad esito delle opportune verifiche contabili, fiscali e legali (due diligence) e dell'ottenimento delle necessarie autorizzazioni, mediante la stipula ed esecuzione dell'accordo definitivo di compravendita che prevedrà, tra l'altro, il rilascio di dichiarazioni e garanzie in linea con operazioni analoghe.
Il corrispettivo per il 100% delle azioni del Gruppo Fruttica è stato definito in 10 milioni di euro, pari a un multiplo di ca. 4X dell'EBITDA del Gruppo Fruttica 2018. Tale importo sarà corrisposto per l'80% alla data di sottoscrizione del contratto definitivo di compravendita, mentre il rimanente 20% sarà pagato in 2 rate di
pari importo rispettivamente dopo 12 e 24 mesi dalla stessa data. È altresì previsto un earn out pari a massimi complessivi 0,4 milioni di euro al raggiungimento di specifici obiettivi al 2020 e 2021.
Il Gruppo Fruttica non ha debiti finanziari e detiene una importante dotazione di liquidità, generata dagli utili originati dall'attività operativa, che verrà distribuita al Socio venditore sotto forma di dividendo prima dell'esecuzione dell'acquisizione.
L'Accordo prevede altresì il mantenimento delle figure chiave del Gruppo Fruttica al fine di assicurare la continuità di gestione di tali società e di dare un contributo alla organizzazione commerciale di Orsero in Francia.
L'operazione sarà finanziata tramite l'uso di risorse finanziarie proprie del Gruppo Orsero.
Il Gruppo Fruttica è specializzato nell'importazione e distribuzione all'ingrosso di ortofrutta, con particolare focus nella distribuzione di uva di produzione italiana in Francia (ca. 50% del volume), di meloni, pere e ortaggi.
Postifruits ha sede a Cavaillon, in Provenza - dove il Gruppo Orsero è già presente con una piattaforma logistica - e utilizza un magazzino di circa 1.450 m2, equipaggiato con ca 150m2 di celle di conservazione. Fruttica, principale società operativa del Gruppo anch'essa con sede a Cavaillon, distribuisce oltre 20.000 tonnellate di ortofrutta all'anno a clienti prevalentemente appartenenti alla grande distribuzione.
E' altresì parte del Gruppo, GP Frutta, con sede in Sicilia (Agrigento), attiva nella gestione del sourcing di frutta prodotta in Sicilia e Puglia destinata al mercato Francese.
Nel complesso, il Gruppo Fruttica nel 2018 ha conseguito ricavi pari a circa 24 milioni con un margine operativo lordo (Ebitda) pari a circa 2,5 milioni di euro.

Milan, 12 March 2019 – Orsero S.p.A. (ORS:MI), company admitted for trading on AIM Italia and holding company of the group by the same name, amongst the leaders in Mediterranean Europe in the import and distribution of fresh fruit and vegetable produce, reports that today it has stipulated an agreement for the purchase of the Fruttica Group, specialised in the import and wholesale distribution of fruit and vegetables, with a particular focus on distribution in France of Italian grapes (approximately 50% of volume), melons, pears and vegetables.
Raffaella Orsero, the Group's CEO, commented: "This transaction comes as part of the route that the Orsero Group is taking towards an increasing rooting and strengthening of its distribution business in Europe, with the aim of strengthening its geographic presence, the diversification of sourcing and the range of products marketed. The companies acquired, which are specialised in the distribution of Italian products in France, will lead to a better balancing of revenues originating in France, boosting goods categories that show excellent market potential and guaranteeing the Group an ever greater integration with the Italian agricultural production chain."
Sebastièn Postifferi, Chairman of Postifruit, commented: "Fruttica joins the Orsero Group with a view to opening up to new development and synergy opportunities in France. I am firmly convinced that thanks to the distribution strength of AZ France, the Fruttica business will develop its full potential. I am also extremely happy to continue to collaborate towards the development of Fruttica and - starting tomorrow - the Orsero Group".
Orsero today stipulated an agreement with Sebastien Postifferi (the "Agreement") regulating the terms and conditions of the acquisition by Orsero or the French subsidiary AZ France S.A. of the entire share capital of Postifruits S.a.s. ("Postifruits"), the company holding the entire capital of Fruttica S.a.s., and which, through completing the acquisition, will hold the entire capital of GP Frutta S.r.l. ("GP Frutta") (together, the "Fruttica Group").
In accordance with the Agreement, the acquisition will be finalised by end May 2019, upon completion of due accounting, tax and legal diligence and obtaining the necessary authorisations, through the stipulation and enforcement of the final purchase and sale agreement, which will, amongst others, entail the issue of declarations and warranties in line with similar transactions.
The price of 100% of the Fruttica Group shares has been agreed as 10 million euros, equal to a multiple of approximately 4X the Fruttica Group's 2018 EBITDA. This amount will be paid 80% on the date on which the final contract of purchase and sale is signed, whilst the remaining 20% will be paid in 2 instalments of equal
amount, respectively 12 and 24 months after that same date. An earn out is also envisaged, equal to a total maximum of 0.4 million euros, upon achieving specific objectives as at 2020 and 2021.
The Fruttica Group has no financial liabilities and holds considerable liquid funds, generated by the profits stemming from its operative business, which will be distributed to the selling shareholder in the form of a dividend, before making the purchase.
The Agreement also establishes that the key figures of the Fruttica Group will be kept on, so as to ensure continuity of management of such companies and help with the commercial organisation of Orsero in France.
The transaction will be financed through the use of financial resources pertaining to the Orsero Group.
The Fruttica Group is specialised in the import and wholesale distribution of fruit and vegetables, with a specific focus on the distribution of Italian grapes in France (approximately 50% of the volume), along with melons, pears and vegetables.
Postifruits is based in Cavaillon, Provence, where the Orsero Group is already present with a logistics platform. It uses a warehouse measuring approximately 1,450 m2, equipped with around 150m2 in storage cells. Fruttica, the Group's main operating company, also based in Cavaillon, distributes more than 20,000 tonnes of fruit and vegetables every year to customers mainly belonging to large-scale distribution.
GP Frutta, based in Sicily (Agrigento), is also a member of the group, operating in the management of the sourcing of fruit produced in Sicily and Apulia for the French market.
In all, 2018 saw the Fruttica Group book revenues of around 24 million, with EBITDA of approximately 2.5 million euros.
ORSERO is the holding company of the Italian and international group with the same name, a leader in Mediterranean Europe for the import and distribution of fresh fruit and vegetables. The Orsero Group was created more than 50 years ago at the initiative of the Orsero family, which had been operating since the 1940s in the fruit and vegetable sector, in partnership with other entrepreneurs.
