STIPULATO L'ATTO DI FUSIONE PER INCORPORAZIONE IN ORSERO DELLE CONTROLLATE GF PRODUZIONE E GF PORTERM

Milano, 29 luglio 2019 – Orsero S.p.A. (ORS:MI), facendo seguito ai comunicati del 24 aprile e 28 maggio 2019, cui si rinvia, informa che in data odierna è stato stipulato l'atto di fusione per incorporazione in Orsero di GF Distribuzione S.r.l. e GF Porterm S.r.l., sub-holding interamente controllate dalla stessa Orsero. Tale operazione consente una semplificazione della struttura societaria di Gruppo con conseguenti benefici per il Gruppo medesimo.

Gli effetti giuridici della fusione decorreranno dal primo giorno del mese successivo a quello in cui l'ultima iscrizione prevista dall'art. 2504 Codice Civile, presso il competente Registro delle Imprese, verrà eseguita mentre gli effetti contabili e fiscali decorreranno dal 1° gennaio 2019.

SIGNED THE DEED OF MERGER BY INCORPORTAION INTO ORSERO OF THE SUBSIDIARIES GF PRODUZIONE AND GF PORTERM

Milan, 29 July 2019 – Orsero S.p.A. (ORS: MI), further to the press releases on 24 April and 28 May 2019, to which reference is made, announces that today it has been signed the deed of merger by incorporation into Orsero of GF Distribuzione S.r.l. and GF Porterm S.r.l., sub-holding companies wholly owned by Orsero. This transaction allows the simplification of the Group's corporate structure with consequent benefits for the Group.

The legal effects of the merger will have effect from the first day of the month following the month in which the last registration required by Article 2504 of Italian Civil Code, in the competent Register of Companies, will be performed whereas the accounting and tax effects will run from 1 January 2019.
