IL CONSIGLIO DI AMMINISTRAZIONE ESAMINA I DATI PRELIMINARI CONSOLIDATI PRO-FORMA(1) AL 31 DICEMBRE 2017

Cresce la dimensione economica e patrimoniale del Gruppo Orsero con un fatturato pro-forma(1) prossimo all'obiettivo di 1 miliardo di Euro

• EBITDA ADJUSTED(2) : CIRCA EURO 31 MLN
• POSIZIONE FINANZIARIA NETTA: CIRCA EURO 47 MLN

Milano, 22 febbraio 2018 – Il Consiglio di Amministrazione di Orsero S.p.A. ("Orsero") riunitosi in data odierna, al fine di presentare al pubblico le informazioni finanziarie che tengano conto degli effetti dell'acquisizione della rimanente parte del capitale sociale di Hermanos Fernández López S.A., Fruttital Firenze S.p.A. e Galandi S.p.A. (come da comunicati diffusi in data 27 luglio, 15 e 25 settembre 2017 ) ha esaminato i dati finanziari consolidati pro-forma(1) del Gruppo al 31 dicembre 2017. Tali dati pro-forma, - predisposti simulando retroattivamente gli effetti delle acquisizioni del restante 50% delle suddette società, con conseguente consolidamento integrale, a far data dal 1° gennaio 2017 - hanno quindi l'obiettivo di rappresentare la situazione economica e patrimoniale del nuovo e attuale perimetro del Gruppo Orsero.

I risultati definitivi saranno approvati dal Consiglio di Amministrazione in occasione dell'approvazione del progetto di bilancio d'esercizio e del bilancio consolidato che avverrà nel corso della riunione del 19 marzo 2018. Inoltre, tali risultati sono ancora soggetti alle attività di revisione contabile periodica e, pertanto, gli stessi possono essere soggetti a variazioni anche significative.

DATI PRELIMINARI CONSOLIDATI PRO-FORMA(1) AL 31 DICEMBRE 2017

Nel paragrafo non verranno riportati gli scostamenti tra i dati consolidati pro-forma 2017 e i dati dell'esercizio 2016, in quanto i due perimetri di consolidamento non sono confrontabili.

I Ricavi Netti Pro-forma hanno raggiunto circa i 935 milioni di Euro.

L'EBITDA Adjusted Pro-forma è pari a circa 31 milioni di Euro, ovvero al 3,3% dei ricavi netti.

¹ Dati pro-forma elaborati al fine di rappresentare gli effetti economici e patrimoniali del consolidamento integrale delle società Hermanos Fernández López S.A., Fruttital Firenze S.p.A. e Galandi S.p.A., completato il 25 settembre 2017, che si sarebbero generati qualora la suddetta operazione fosse avvenuta il 1° gennaio 2017. ² Non include poste di natura non ricorrente.

La Posizione Finanziaria Netta Pro-forma è pari a circa 47 milioni di Euro; tale valore tiene già conto dell'escussione della garanzia di Orsero in favore di Intesa Sanpaolo S.p.A. per informazioni in merito alla quale si rimanda al comunicato del 29 gennaio 2018.

The economic and financial size of Orsero Group is growing reaching a pro-forma(1) turnover close to the target of 1 billion euros

Milan, February 22, 2018 – The Board of Directors of Orsero S.p.A. ("Orsero") met today, in order to present the public with financial information that considers the effects of the acquisition of the remaining part of share capital of the companies Hermanos Fernández López S.A., Fruttital Firenze S.p.A. and Galandi S.p.A. (as per press releases dated on July27, September 15 and 25, 2017 ) examined the preliminary consolidated pro-forma(1) financial data of the Group as of 31 December 2017. These pro-forma data - prepared simulating retroactively the effects of the acquisitions of the remaining 50% of the aforementioned companies, with consequent consolidation on a line-by-line basis, effective from 1 January 2017 - therefore have the objective of representing the economic and financial situation of the new and current perimeter of the Orsero Group.

The final results will be approved by the Board of Directors upon the approval of the draft financial statements and the consolidated financial statements which will occur during the meeting on March 19, 2018. Furthermore, these results are still subject to periodic audit activities and therefore, the same can be subject to even material changes.

PRELIMINARY CONSOLIDATED PRO-FORMA(1) FINANCIAL DATA AS OF 31 DECEMBER 2017(3)

This paragraph does not contain any variances between the pro-forma consolidated data of 2017 and the financial results of 2016, as the two consolidation perimeters are not comparable.

⁽¹⁾ Pro-forma data prepared to represent the economic and equity effects of the consolidation on a line-by-line basis of the companies Hermanos Fernández López S.A., Fruttital Firenze S.p.A. and Galandi S.p.A., completed on 25 September 2017, that would have been generated if the aforementioned transaction took place on 1 January 2017.

Pro-forma Net Sales are about 935 million euros.

The adjusted Pro-forma EBITDA is approx. 31 million euros, equal to 3,3 % of total revenues.

The Pro-forma Net Financial Position is equal to about 47 million euros, already taking into account the enforcement of the Intesa guarantee, to which reference is made to the press release dated January 29, 2018.
