Signing of Saverglass Share Purchase Agreement
Orora Limited (ASX: ORA) (" Orora ") refers to its announcements on 5 September 2023 relating to the acquisition of Saverglass SAS through the acquisition of all of the shares of Olympe SAS (" Acquisition "), including the execution of a Put Option Agreement. The Put Option Agreement provided the vendors the option to sell the shares in Olympe SAS to Orora following the completion of certain mandatory French works council consultation processes.
Orora is pleased to advise that the works council consultation processes have successfully completed, the vendors have exercised the put option, and the parties have proceeded to enter into the agreed form binding Share Purchase Agreement.
Orora CEO Brian Lowe said: "We appreciate the various Saverglass Works Councils’ consideration of Orora’s proposed acquisition of Saverglass and are delighted that they are supportive of our ownership moving forward. We look forward to moving to a successful completion of the transaction."
Subject to the satisfaction of all conditions precedent, completion of the Acquisition is expected to occur in the last quarter of CY2023. Orora will continue to update shareholders and the market as the transaction progresses.
