1. The stock appreciation rights vest 100% on the one-year anniversary of the date of grant.

Remarks:

This amendment is being filed to state that the reporting person declined the grant of, and thus was deemed never to have acquired, the restricted stock units ("RSUs") reported in the reporting person's Form 4 filed on November 8, 2018. The award of RSUs was subsequently cancelled for no value, and the reporting person received no consideration in connection with the cancellation.
