Shareholder proposal to acknowledge social responsibility for plastic waste landfill in Flisa

The following matter has been reported to the General Meeting by shareholder Eivind Gustav Hoel:

"As a shareholder, I request that the following item be placed on the agenda for the 2026 Annual General Meeting:

Orkla recognises its social responsibility in relation to the plastic waste landfill in Flisa and undertakes to contribute the necessary resources to ensure that the plastic waste from Jordan production is removed from nature and handled in a responsible manner in accordance with today's environmental standards.

In the article, it appears that Orkla is seeking to distance itself from responsibility for the landfill, referring to the fact that it was established according to the standards of the time and before Orkla took over Jordan. In my view, however, Orkla's corporate social responsibility should carry more weight: The company currently profits from the Jordan brand and should therefore take joint responsibility for cleaning up after historical environmental impacts associated with this business.

In addition, it would be unfortunate for both the Jordan brand and Orkla as a group to reject responsibility for clean-up. An active and responsible approach will strengthen the company's reputation and be in line with the expectations of modern, sustainable businesses."

The case concerns a waste landfill in Åsnes municipality. The company Jordan AS started production of toothbrushes, dishwashing brushes and toothpicks at a factory at Flisa in Åsnes municipality in 1969. The production of toothbrushes and dishwashing brushes at Flisa ceased in 2002. In the period 1982 to 2002, Jordan AS delivered its industrial waste to a waste landfill in Åsnes municipality. This was a legally established landfill, based on permission from the County Governor, and the waste from Jordan AS was delivered to the landfill in accordance with ordinary agreements with the operator of the landfill.

Orkla acquired Jordan AS in 2012, and the business is now part of the portfolio company Orkla Health AS.

Åsnes municipality and the landowner/operator have not handled the waste landfill in line with the conditions set by the County Governor and which formed the basis for the agreements entered into on the management of the industrial waste. Waste is now visible in the terrain. This has led to attention in the media, and has been a reputational burden for Orkla Health AS.

It seems clear that Orkla Health AS has no legal responsibility for the waste landfill. Nor has it been claimed by the County Governor, the municipality or the landowner that Orkla Health AS has any responsibility. Nevertheless, the company has a desire to contribute to a solution that is safe for nature and has therefore taken the initiative to engage in dialogue with both the County Governor and Åsnes Municipality to discuss the municipality's further management of the landfill and whether Orkla Health AS can possibly contribute.

The Board of Directors of Orkla ASA is confident that Orkla Health AS will handle this matter in a responsible manner. The Board of Directors of Orkla ASA recommends voting against the proposal received at the Annual General Meeting.
