EXPLANATORY NOTE: ORIX Corporation hereby amends its report on Form 6-K furnished to the SEC on May 28, 2024 (the “Original Form 6-K”) solely to correct three figures included in the Information Materials for the 61st Annual General Meeting of Shareholders included as Exhibit 99.2 to the Original Form 6-K, as shown in Exhibit 99.1 hereto. Other than the filing of Exhibit 99.1, no part of the Original Form 6-K is being amended hereby.
