Annual and Extraordinary General Meetings

Origin Enterprises plc ("Origin") announces that earlier today it held its Annual General Meeting and an Extraordinary General Meeting.

At the Annual General Meeting, all nine resolutions proposed were approved by shareholders.

At the Extraordinary General Meeting, all five resolutions proposed were approved by shareholders. As a result, the recently announced Tender Offer may now be implemented. 

The full text of the approved resolutions can be found in the Notices of the Annual General Meeting and Extraordinary General Meeting.  The Notices and the Circular to shareholders outlining the details of the Tender Offer are all available to view, and download, from the Company's website at www.originenterprises.com.

As outlined in the Circular, the latest time and date for receipt of Tender Forms and TTE instructions from CREST in relation to the Tender Offer is 1.00pm on 21 November, 2013.
