ASX ANNOUNCEMENT

PLACEMENT UPDATE AND CLEANSING NOTICE

Future Battery Minerals Limited (ASX: FBM) ( FBM or the Company ) refers to the announcement dated 27 March 2024 and confirms that it has completed the issue of 104,590,909 fully paid ordinary shares in the Company ( Shares ) at $0.055 per Share ( Placement Shares ) to new and existing strategic, institutional and sophisticated investors to raise approximately $5.75 million (before costs).

The Placement Shares were issued using the Company’s existing placement capacity available under ASX Listing Rule 7.1 and 7.1A.

FBM’s Directors (and/or their associates) subscribed for A$247,500 (4,500,000 New Shares) as part of the Placement ( Related Party Participation ). Completion of the balance of the placement is subject to shareholder approval which will be sought at a general meeting of shareholders to be held around mid-May. A notice of meeting to convene the shareholders meeting will be dispatched to shareholders shortly.

The Company also confirms that it has issued 300,000 Shares upon the conversion of 300,000 performance rights. Please refer to the accompanying Appendix 2A for further details.

Notice pursuant to Section 708A(5)(e) of the Corporations Act 2001 (Cth)

The Company gives notice pursuant to section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporation Act ) that:

1. On 5 April 2024, the Company issued 104,590,909 Placement Shares;

2. On 5 April 2024, the Company also issued 300,000 Shares on the conversion of 300,000 performance rights;

3. The Company issued those Shares without disclosure to investors under Part 6D.2 of the Corporations Act;

4. the Company is providing this notice under section 708A(5)(e) of the Corporations Act;

5. as at the date of this notice, the Company has complied with:

   • a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

   • b) section 674 and 674A of the Corporations Act; and

6. as at the date of this notice, there is no information which is 'excluded information' within the meaning of section 708A(7) and 708A(8) of the Corporations Act which is required to be disclosed by the Company.
