COMPLETION OF PLACEMENT

Auroch Minerals Limited (ASX: AOU) (“ Auroch ” or the “ Company ”) confirms that it has completed the $2,650,000 million Placement announced on 5 December 2022. As announced, the Placement included the issue of 55,208,334 fully paid ordinary shares in the Company (“ Shares ”) at $0.048 per Share to new and existing institutional and sophisticated investors.

Please refer to the accompanying Appendix 2A which contains further details.

NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT 2001

This notice is given by Auroch Minerals Limited (ASX: AOU) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act).

The Company hereby notifies ASX under section 708A(5)(e) of the Corporations Act that:

• (a) On 13 December 2022 the Company issued 55,208,334 Shares in respect of a Placement;

• (b) the Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• (c) the Company is providing this notice under section 708A(5)(e) of the Corporations Act;

• (d) as at the date of this notice, the Company has complied with the provisions of Chapter 2M of the Corporations Act as they apply to the Company;

• (e) as at the date of this notice, the Company has complied with section 674 of the Corporations Act; and

• (f) as at the date of this notice, there is no information which is 'excluded information' within the meaning of section 708A(7) and 708A(8) of the Corporations Act.

This announcement has been approved for the release by the Board of Auroch Minerals Limited.
