Ref : Additional Disclosures as corrigendum to Explanatory Note to Special Resolution 5 of the Notice to 31st Annual General Meeting
Disclosures Pertaining to Preferential Allotment to Ms.P.Rajeswari , Legal Heir of Mr. P.C. Pantulu Promoter & Ex-CEO listed at Resolution No 5 in the Notice to the 31st Annual General Meeting held on 30th September 2025
The National Stock Exchange has observed shortfall in disclosures to the Explanatory Notes to Resolution No 5 in the Notice to the 31st Annual General Meeting of the company. Hence as per the instructions the following disclosures are being made.
Disclosure on the Interest of Other Promoters in Subscription to the Preferential Allotment of 2,68,75,000 Equity Shares of Rs.2/- each at an issue price of Rs.3.20, including a premium of Rs.1.20 per share.
The company has disclosed in the Notes to the Resolution 5 stating that apart from Mr.Chandra Sekhar Pattapurathi and Ms.Rajeswari Pattapurathi none of the directors of the company are interested in the present preferential allotment.
The National Stock exchange vide their letter No NSE/LIST/50728 dated November 18, 2025 has advised the company to make an announcement with regard to interest of other promoters in the present Preferential Allotment as it was not mentioned in the disclosure made in the Explanatory Notes to Resolution No 5 of the Notice to the 31st Annual General Meeting mentioned above.

"None of the Promoters, Directors, Key Managerial Personnel of the company, other than Mr. Chandra Sekhar Pattaputathi (Managing Director & CFO) and Ms. Rajeswari Pattapurathi (Allottee) are interested in subscription the present preferential allotment of 2,68,75,000 Equity shares of Rs.2/- each to Ms. Rajeswari Pattapurathi."
