Dear Sir / Madam,

Expiry of Quoted Options

Australian-American Mining Corporation Limited ("Company" ASX: AIW) had on issue 35,355,250 quoted options (ASX: AIWO) that were exercisable at 50 cents on or before 31 December 2012 ("Options").

The Company announces that 2,226 ordinary shares have been issued as a result of the exercise of 2,226 of the Options. 35,353,024 Options (being 35,355,250 Options less the 2,226 Options exercised) expired unexercised on 31 December 2012.

Following is the Appendix 3B confirming the current issued capital of the Company after taking the above securities into account.

The Company inadvertently breached ASX Listing Rule 6.24 in that it did not give option holder’s 20 business days' notice prior to the expiration date of the Options. The Company's share price as at the date 20 business days prior to the expiration date was 3.2 cents per share and it remained at or about this level during December 2012 to close at 3.2 cents on 31 December 2012. Accordingly, the options were at all relevant times materially "out of the money" and the likelihood of option holders exercising their options was remote.

The Company is reviewing its procedures to ensure that in the future it complies with ASX Listing Rule 6.24.
