ASX Announcement

ISSUE OF PLACEMENT SHARES

Woomera Mining Limited (ASX: WML) (‘Woomera’ or ‘the Company’) is pleased to announce that it has today issued 68,421,046 ordinary shares to professional and sophisticated investors pursuant to the share placement announced on 5 October 2021.

The Company issued a total of 68,421,046 ordinary shares at $0.019 per share to raise $1,300,000. Of the 68,421,046 shares issued, approximately 3,459,203 ordinary shares were issued pursuant to ASX Listing Rule 7.1A and 64,961,843 ordinary shares were issued pursuant to the Company’s 15% placement capacity pursuant to ASX Listing Rule 7.1.

An Appendix 2A has been released in conjunction with this announcement.

Cleansing Notice

The Company hereby gives notice to the ASX under section 708A(5)(e) of the Corporations Act that as at the date of this notice:

1. the Company issued the Shares without disclosure to investors under Part 6D.2 of the Act;

2. the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company;

3. the Company has complied with section 674 of the Act; and

4. as at the date of this notice, there is no information:

   • (a) that has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules;

   • (b) that investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

     • (i) the assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or

     • (ii) the rights and liabilities attaching to the securities.
