Notice under Section 708A(5)(e) Corporations Act

On 30 August 2013, Australian-American Mining Corporation Limited ABN 99 073 155 781 ( Company ) issued 3,750,000 fully paid ordinary shares ( Shares ) to sophisticated and professional investors.

The Company gives notice under section 708A (5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ) that:

1. the abovementioned Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

2. as at the date of this notice the Company has complied with:

   • (a) the provisions of Chapter 2M Corporations Act as they apply to the Company; and

   • (b) section 674 Corporations Act; and

3. as at the date of this notice there is no "excluded information" (as defined in subsection 708A (7) of the Corporations Act) other than the following:

   • (a) The Company is involved in discussions with a third party regarding the acquisition ( Acquisition ) by the Company of a 50% interest in a copper mine in Nevada, United States.

   • (b) Discussions regarding the Acquisition are presently incomplete and there is no assurance that a transaction will ultimately be concluded.
