The issuer is solely responsible for the content of this announcement. ——————————————————————————– Merger of ORBIS Gesellschaft für Organisation, Beratung und Innovatives Systemengineering mbH Saarbrücken, October 13, 2004 —- As part of the restructuring of the ORBIS Group, “ORBIS Gesellschaft für Organisation, Beratung und Innovatives Systemengineering mbH” was merged with ORBIS AG on October 10, 2004. The merger took place by way of absorption through transfer of the entire assets of “ORBIS Gesellschaft für Organisation, Beratung und Innovatives Systemengineering mbH” to ORBIS AG, while dissolving “ORBIS Gesellschaft für Organisation, Beratung und Innovatives Systemengineering mbH” without liquidation (section 2 No. 1 of the German Law Regulating Transformation of Companies (“UmwG”)). With respect to the internal relationship, the acquisition of the assets of “ORBIS Gesellschaft für Organisation, Beratung und Innovatives Systemengineering mbH” took effect at the end of December 31, 2003.
