The merger took place by way of absorption through transfer of the entire assets of “ORBIS Gesellschaft für Organisation, Beratung und Innovatives Systemengineering mbH” to ORBIS AG, while dissolving “ORBIS Gesellschaft für Organisation, Beratung und Innovatives Systemengineering mbH” without liquidation (section 2 No. 1 of the German Law Regulating Transformation of Companies (“UmwG”)).
