Pursuant to art. 5, clause 1, item 22 of the Decree of the Minister ofFinance of 19 February 2009 on current and periodic informationdisclosed by issuers of securities and the terms governing recognitionof information required by the laws of a non-member state as equivalentinformation (Journal of Laws of 2014, item 133), the Management Board ofOrange Polska S.A. ("Orange Polska ") informs about appointment ofmanaging persons.

Mariusz Gaca, Maciej Nowohoński and Jacek Kowalski reappointed for newterms of office to the Orange Polska Management Board

On February 7, 2017: the Supervisory Board of Orange Polska reappointedMr. Mariusz Gaca, Mr. Maciej Nowohoński and Mr. Jacek Kowalski for thenext terms of office as members of the Management Board. The renewalswere made before the expiration of the current terms of office. The newterms of office start on the day of the next Annual General Meeting thatwill accept the financial statements of Orange Polska for 2016, for aperiod of three years. Mariusz Gaca is the Vice-President of theManagement Board in charge of Consumer Market, Mr. Maciej Nowohoński isthe Board Member in charge of Finance and Mr. Jacek Kowalski is theBoard Member in charge of Human Resources.

Mr. Mariusz Gaca (born in 1973); Vice President of the Board forConsumer Market since January 2017 and he is also chairman of the EthicsCommittee Orange Poland. Since November 2013 he was Vice President forB2B Market. He is also Vice President of Employers of Poland andChairman of the Polish Section of Business and Industry AdvisoryCommittee to the OECD (BIAC). A member of Executive Volunteers Coalitionsince 2013, he is very active in voluntary work and promotes theprinciples of corporate social responsibility.He began hisprofessional career in the Elektrim Group, where he co-created businessplans for local telecommunication operators, between 1995 and 2000. From2001 he worked at TP Group (Telekomunikacja Polska) as Director ofMultimedia and was responsible for the development of internet accessfor the mass market. Between 2005 and 2009 he was responsible for the TPGroup business market. From 2009 he was TP Group Executive Director incharge of Sales and Customer Service and President of the ManagementBoard of PTK Centertel (TP Group mobile telecommunication operator) - aposition which he held until the merger of PTK Centertel withTelekomunikacja Polska. He is a graduate of Academy of Agriculture andTechnology in Bydgoszcz and Warsaw University. He also holds an MBA fromthe University of Illinois at Urbana Champaign and is a graduate of theAdvanced Management Program (AMP) at INSEAD.According to hisstatement, Mr. Mariusz Gaca is not engaged in any activities competitiveto the business of Orange Polska and is not a partner in any partnershipunder civil law or another type of partnership, or a member of agoverning body of any incorporated company or any other legal entitywhich would be competitive to Orange Polska. Mr. Mariusz Gaca is notlisted in the Register of Insolvent Debtors maintained pursuant to theNational Court Register Act.

Mr. Maciej Nowohoński (born in 1973); Since March 2014 he is Member ofthe Management Board in charge of Finance at Orange Polska. He also sitson the supervisory boards of selected subsidiaries of Orange Polska. Hehas been with Orange Polska since 2003. He held several positions infinance, including Orange Polska Group Controller in 2006-2014. He wasManagement Board Member at Emitel and in 2011-2013 - Management BoardMember in charge of Finance at PTK Centertel.In 2010-2011 he was Memberof the Management Board at Emitel and in 2011 - 2013 - Member of theManagement Board in charge of Finance at PTK Centertel. Prior to joiningthe Orange team, he worked for Arthur Andersen & Andersen BusinessConsulting.He is a graduate of Foreign Trade at the EconomicUniversity of Poznan and from the Dutch HAN University of AppliedSciences in Nijmegen.According to his statement, Mr. MaciejNowohoński is not engaged in any activities competitive to the businessof Orange Polska and is not a partner in any partnership under civil lawor another type of partnership, or a member of a governing body of anyincorporated company or any other legal entity which would becompetitive to Orange Polska. Mr. Maciej Nowohoński is not listed in theRegister of Insolvent Debtors maintained pursuant to the National CourtRegister Act.

Mr. Jacek Kowalski (born in 1964); Since January 2011 he is theManagement Board Member in charge of Human Resources. Previously, since2009 he was Executive Director in charge of Human Resources atTelekomunikacja Polska (now Orange Polska). He has been working at thecompany for over 10 years. He started his career in TP Group in 2001 asManager of Human Resources in Sales & Marketing at PTK Centertel. From2005 he was Director of Employee Competence and Development ManagementBranch. Prior to that, he was Director of the Entrepreneurship and HumanResources School in Infor Training (Infor Media Group) and Director ofthe National In-Service Teachers Training Center, responsible forimplementation of training programs supporting the development ofeducation in Poland. He is a member of the Program Board of Polish HumanResources Management Association, PTE and a member of Human Explorers -informal group.He is a graduate of the Faculty of History at theUniversity of Warsaw and a postgraduate studies for Local Government andNon-Governmental Organizations Management also at the University ofWarsaw.According to his statement, Mr. Jacek Kowalski is not engagedin any activities competitive to the business of Orange Polska and isnot a partner in any partnership under civil law or another type ofpartnership, or a member of a governing body of any incorporated companyor any other legal entity which would be competitive to Orange Polska.Mr. Jacek Kowalski is not listed in the Register of Insolvent Debtorsmaintained pursuant to the National Court Register Act.
