Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Keith Block, Executive Vice President, North America Sales and Consulting, and a named executive officer of Oracle Corporation (“Oracle”), has decided to leave Oracle and pursue other opportunities. Effective June 18, 2012, certain of Mr. Block’s responsibilities were assumed by other members of Oracle’s management. Mr. Block will remain with Oracle for a period of time to assist with this transition.
