Item 2.02 Results of Operations and Financial Condition.

On March 31, 2014, OptimizeRx Corp. (the “Registrant”) issued a press release announcing the results of operations for the year ended December 31, 2013, and announced the details of its earnings conference call, to be held on Tuesday April 1st, 2014 at 12:00 PM EST.

The press release is furnished with this Current Report on Form 8-K as Exhibit 99.1.
