NOTICE OF CHANGE OF AUDITOR

TO: Alberta Securities Commission
- British Columbia Securities Commission
- Ontario Securities Commission
RE: Loon Energy Corporation (the “ Company ”)

The Company hereby provides notice pursuant to section 4.11 of National Instrument 51-102 Continuous Disclosure Obligations (“ NI 51-102 ”) that:

(a) At the request of the Company, KPMG LLP of Suite 2700, 205-5[th] Avenue SW, Calgary, Alberta, T2P 4B9 (the “ Predecessor Auditor ”) has resigned as the auditor for the Company, effective June 3, 2020;
(b) the Company appointed Kenway, Mack, Slusarchuk, Stewart LLP of 1500, 333 11[th] Avenue SW, Calgary, Alberta, T2R 1L9 as the auditor (the “ Successor Auditor ”) of the Company effective June 3, 2020;
(c) the resignation of the Predecessor Auditor and the appointment of the Successor Auditor were approved by the board of directors and audit committee of the Company;
(d) there are no modifications of opinion by the Predecessor Auditor in the Auditors’ Reports of the two most recently completed fiscal years ended December 31, 2018 and December 31, 2017.
(e) in the opinion of the board of directors and audit committee of the Company, there are no reportable events as defined in section 4.11(1) of NI 51-102, which occurred in connection with the audit of the two most recently completed fiscal years or for any periods subsequent to the most recently completed fiscal period for which an Auditors’ Report was issued.
