Item 8.01. Other Events

On March 26, 2007, Optical Cable Corporation’s Board of Directors approved a plan to purchase and retire up to 300,100 shares of its common stock, or approximately 5% of the current shares outstanding. The Company anticipates that the purchases will be made during the next 12 months unless the entire number of shares expected to be purchased under the plan is sooner acquired.

The press release announcing the repurchase plan is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
