Circadian Technologies Limited – Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth)

Circadian Technologies Limited ACN 006 340 567 ( Company ) gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Act ).

The Company states as follows:

• a. on 25 November 2014, the Company issued 73,142,857 fully paid ordinary shares in the capital of the Company ( Placement Shares ) to various sophisticated and professional investors who participated in the placement announced on 6 October 2014;

• b. the Placement Shares were issued without disclosure to investors under Part 6D.2 of the Act;

• c. as at the date of this notice, the Company has complied with:

• (i) the provisions of Chapter 2M of the Act as they apply to the Company; and (ii) section 674 of the Act as it applies to the Company; and

• d. as at the date of this notice, there is no 'excluded information' of the type referred to in sections 708A(7) and 708A(8) of the Act.
