GRANT OF OPTIONS

OPG Power Ventures plc, the developer and operator of group captive power plants in India, announces that the Board, on 19th December 2014, granted options over new ordinary shares in the Company to directors as detailed below in accordance with the Group's Share Options Scheme as previously approved in July 2009 ("the 2009 Scheme"), as indicated in the Company's admission document dated 23 May 2008.

The exercise price of these options is 60 pence, they are exercisable between one and ten years from the date of grant and vesting is subject to the achievement of performance conditions previously decided upon by the Remuneration Committee.

The grants of options under the 2009 Scheme are as follows:
