REGISTRATION INTO THE REGISTER OF COMPANIES OF THE MERGER DEED FOR THE INCORPORATION OF THE FULLY OWNED SUBSIDIARY QUANTA S.P.A. (MERGED COMPANY) INTO OPENJOBMETIS S.P.A. (MERGING COMPANY)

Milan, 3 December ²⁰²¹ – Openjobmetis S.p.A. (Borsa Italiana: OJM), one of the leading Employment Agencies, listed on the STAR segment of the Stock Market managed by Borsa Italiana, announces that on 02 December 2021 the merger - by notarial deed of notary Andrea De Costa, occurred in Milan on 01 December 2021 - for the incorporation of Quanta S.p.A. (merged company) into Openjobmetis S.p.A. (merging company) has been registered in the Register of Companies. The merger was signed in performance of the resolution by the Board of Directors of Openjobmetis S.p.A. – pursuant to art. 18.3 of the Articles of Association – and the Extraordinary Shareholders' Meeting of Quanta S.p.A. (Merged Company), as announced on 14 September 2021.

The statutory, accounting, and fiscal effects – pursuant to art. 2504-bis, paragraph nr. 2, of the Civil Code – will begin from 00.00 of 01 January 2022.

The transaction does not entail any increase in share capital, as the share capital of the Merged Company, Quanta S.p.A., is fully owned by the Merging Company.

The merger deed is available to the public on the Company's website www.openjobmetis.it (Corporate Governance / Extraordinary Transaction section) as well as through the authorised storage device eMarket-Storage ().
