PRESS RELEASE

APPROVAL OF NEW BOARD OF DIRECTORS OF OPENJOBMETIS SPA

• Rosario Rasizza confirmed as Managing Director
• Independence requirements of the members of the administration and control bodies verified
• Appointment of the board committees
• Alessandro Esposti confirmed as the Manager in charge of preparing the company's financial reports

Milan, 24 April 2018 - Openjobmetis S.p.A. Agenzia per il lavoro (Borsa Italiana: OJM), among the key players in the sector and top Employment Agency listed in the Stock Market - STAR segment operated by Borsa Italiana, announces that today, following the appointment by the Shareholders' Meeting held on the same date, the first meeting of the Board of Directors was held, with Marco Vittorelli as Chairman.

The Board of Directors confirmed Rosario Rasizza as Managing Director.

It also assessed, based on the available information and on the declarations made by the interested parties, the existence of the independence requirements pursuant to Italian Legislative Decree 58/1998, as well as to the Corporate Governance Code of listed companies, with regard to directors Alberica Brivio Sforza, Alberto Rosati and Fabrizio Viola and Giovanni Fantasia, and adopted and shared the assessments of the Board of Statutory Auditors with regard to possession of the independence requirements, pursuant to Italian Legislative Decree 58/1998, by all of its members - Chiara Segala, Roberto Tribuno and Manuela Paola Pagliarello.

During the same meeting, the Board of Directors defined the Company's governance structure, appointing until the date of the Shareholders' Meeting called to approve the financial statements for the year ended 31 December 2020:

• the Control and Risks Committee, consisting of independent director Alberto Rosati (Chairman), independent director Giovanni Fantasia and non-executive director Daniela Toscani;
• the Remuneration Committee, consisting of independent director Fabrizio Viola (Chairman), independent director Alberica Brivio Sforza and non-executive director Daniela Toscani;
• the Related Parties Committee, consisting of independent director Alberica Brivio Sforza (Chairman), independent director Alberto Rosati and independent director Giovanni Fantasia.

Lastly, the Board of Directors confirmed Alessandro Esposti as the Manager in charge of preparing the company's financial reports. The appointment was made in accordance with the professional requirements envisaged by the By-laws, pursuant to the law.
