This Current Report on Form 8-K/A (the “Amendment”) updates the description of Exhibit 99.2 disclosed in a Current Report on Form 8-K filed on December 16, 2011 (the “Original 8-K”). The Original 8-K described the exhibit as “the employment agreement, dated December 14, 2011, between Mark Barrenechea and the Company”. Open Text Corporation (the “Company”) would like to amend this description as “the employment agreement, effective January 2, 2012, between Mark Barrenechea and the Company”.
