Item 2.02. Results of Operations and Financial Condition

The following information is furnished pursuant to Item 2.02, “Results of Operations and Financial Condition.”

On May 2, 2007, Open Text Corporation (the “Company”) issued a press release announcing its financial results for the fiscal quarter ended March 31, 2007. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.

Item 8.01 Other Events

On May 2, 2007, the Company issued a press release announcing the filing of a Notice of Intention with the Ontario Securities Commission to make a normal course issuer bid to repurchase up to a maximum of 2,494,053 common shares of the Company, through the facilities of the NASDAQ Global Select Market, an amount representing up to but not exceeding 5% of the Company’s issued and outstanding common shares as of April 30, 2007.
