Item 2.02. Results of Operations and Financial Condition

On April 27, 2023, OP Bancorp, (the “Company”), the holding company of Open Bank, issued a press release announcing preliminary unaudited results for the first quarter ended March 31, 2023. A copy of the press release is attached as Exhibit 99.1 to this Current Report and is incorporated herein by reference. Also attached as Exhibit 99.3 is a slide presentation for the results for the first quarter.

Item 8.01. Other Events

On April 27, 2023, the Company also announced that its Board of Directors had declared a quarterly cash dividend of $0.12 per common share. The cash dividend is payable on or about May 25, 2023 to all shareholders of record as of the close of business on May 11, 2023. A copy of the press release is attached hereto as Exhibit 99.2.
