Subject: Intimation of Board Meeting to be held on Monday, August 24, 2020 at shorter notice

This is to inform you that meeting of the Board of Directors of the Company at shorter notice shall be convened on Monday, 24[th] August, 2020 as per the provisions given in Companies (Meetings of Board and its Powers) Rules, 2014 Rule (4) sub-rule (1) may be held through video conferencing or other audio visual means in accordance with Rule 3 (MCA Notification as on March 19[th] , 2020) to consider and approve the material related party transaction of purchasing a property by the Company.

1. To consider and approve the material related party transaction-purchase of Property situated in Pune.

2. To consider and approve the Postal Ballot notice for members approval.

3. To appoint M/S Nilesh A. Pradhan and Co. LLP wherein Mr. Nilesh A. Pradhan or Ms. Prajakta Padhye, Practicing Company Secretaries are appointed as scrutinizer for e-voting to be conducted and to issue scrutinizer report.

Further kindly note that, in compliance of the provisions of SEBI (Prohibition of Insider Trading) Regulations, 2015, the trading window has been closed with immediate effect till Wednesday, 26[th] August, 2020.

The trading window shall open from Thursday, 27th August 2020.
