• 1.The 19'" Annual General Meeting (AGM) of the Members of the Company will be held on Tuesday, September 17, 2019 at

• 11:30 a.m. 1ST at The Chancery Pavilion Hotel, 135, Residency Road, Bengaluru- 560025, Karnataka, India to transact the business set out In the Notice already sent to the Members of the Company.

• 2.Electronlc copies of the Notice of AGM and Annual Report tor FY 2018-19 have been sent to all the members whose email IDs are registered with the Depository Participant(s). The same are also available on the website of the Company at www.onmoblle.com. Notice of AGM and Annual Report for FY 2018-19 has been sent to all other members at their registered address by permitted mode. The dispatch of Notice of AGM has been completed on August 24, 2019.

• 3.Members holding shares either in physical form or dematerialized form, as on the cut-off date September 10, 2019, may cast their vote electronically on the business as set out in the Notice of AGM through electronic voting system of Karvy Flntech Private Limited (Karvy) from a place other than the venue of the AGM (remote a-voting). All the members are informed that: The business as set forth in the Notice of AGM may be transacted through voting by electronic means:

• ii. The remote a-voting shall commence on September 13, 2019 at 9.00 a.m. (1ST);

• iii. The remote a-voting shall end on September 16, 2019 upto 5.00 p.m. (1ST);

• iv. The cut-off date for determining eligibility to vote by electronic means or at the AGM is September 10, 2019;

• v. Remote e-voting shall not be allowed beyond 5.00 p.m. 1ST on September 16, 2019;

• vi. Any person, who acquires shares of the Company and becomes a member of the Company after dispatch of the Notice of the AGM and holding shares as on the cut-off date I.e. September 10, 2019 may obtain the login ID and password by sending a request at einward.ris@karvy.com. However, if a person is already registered with Karvy for a-voting then existing user ID and password can be used for casting vote.

• vii. Members may note that a) The remote e•voting module shall be disabled by Karvy beyond 5.00 p.m. lST on September 16, 2019 and

• 'Once the vote on a resolution is cast by the member, the member shall not be allowed to change it subsequently; b) The facility for voting through poll shall be made available at the AGM; c) The members who have cast their vote by remote a-voting prior to the AGM may also attend the AGM but shall not be entitled to cast their vote again, and; d) A person whose name is recorded In the register of members or in the register of beneficial owners maintained by the depositories as on the cut-off date only shall be entitled to avail the facility of remote e-voting and vote at the AGM through poll.
