Subject: Composite Scheme of Arrangement and Amalgamation (Merger by Absorption) amongst Steriscience Specialties Private Limited, Brooks Steriscience Limited, Steriscience Pte. Limited, Strides Pharma Services Private Limited and Onesource Specialty Pharma Limited and their respective shareholders - under section 230 to 232 read with section 234, section 52, section 66 of the Indian Companies Act and under section 210 read with section 212 of The Singapore Companies Act, 1967 and other applicable provisions of the Indian Companies Act, 2013, the Singapore Companies Act, 1967 and the rules framed thereunder (“Proposed Scheme”)
This is further to the earlier intimation to the National Stock Exchange of India Limited and BSE Limited (“ Stock Exchanges ”) that the Company has received in-principle approval for the proposed scheme of arrangement relating to acquisition of the facilities of Steriscience (Poland and Baroda) into OneSource. The Board of Directors of OneSource met today, March 06, 2026, to review the next steps in the process.
After due deliberation, the Board has decided to undertake a further review before proceeding with the filing of the application with the National Company Law Tribunal (NCLT). The review will be completed within the six-month approval window granted by the Stock Exchanges.
The Company will continue to keep the Stock Exchanges informed of any further developments in this matter.
