PDMR LTIP Awards

The notifications below are all in accordance with the requirements of Article 19 (3) of the EU Market Abuse Regulation 596/2014 and the dealings were in respect of ordinary shares of 1 pence each ("Shares") in the share capital of On the Beach Group plc.

On 2 October 2024, awards over Shares ("FY25 Awards") were made under the On the Beach Group plc Long Term Incentive Plan ("LTIP"). The Awards, made for nil consideration, are nil-cost options established in accordance with the LTIP rules. There are no performance targets applicable to the Awards but vesting is subject to continued employment.

Under the Directors' Remuneration Policy and LTIP rules, the Remuneration Committee has discretion to adjust the vesting level of awards. In making its assessment at the end of the vesting period, the Remuneration Committee will take into account factors including (but not limited to) the shareholder experience and to what extent the outcome incorporates any windfall gain which may warrant adjustment.
