On February 1, 2021, ON Semiconductor Corporation announced in a news release its financial performance for the fourth quarter and year ended December 31, 2020 and other related material information (the “ Earnings Release ”). A copy of the Earnings Release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
